European Commission

Auditing (European Commission) - auditing section of the Financial Reporting and Company Law pages on the European Commission website, which includes the commission communication 'Reinforcing the Statutory audit in the European Union' (published May 21st 2003). The communication sets out a number of medium term priorities that include corporate governance with the aim of strengthening audit committees and internal control.

Company Law and Corporate Governance (European Commission) - dedicated section of the Financial Reporting and Company Law pages of the European Commission website, focusing on corporate governance. The site includes the details of the EU policy papers on 'Modernising Company Law and Enhancing Corporate Governance in the European Union - A Plan to Move Forward' (May 2003).

Comparative Study of Corporate Governance Codes relevant to the European Union and its Member States - full text of the comparative study on corporate governance codes (split into three PDF documents) commissioned by the European Commission for background and discussion. According to the press release announcing its availability on the site: 'The study identifies the various corporate governance codes which may affect the way companies are directed and controlled within the European Union. It performs a detailed comparison of the corporate governance rules contained in these codes and presents a synthesis of the main lines of convergence and divergence contained in the codes.' The full text was released as being of wider interest on March 27th 2002.

Promoting Competitiveness: The UK approach to EU company law and corporate governance (DTI) - booklet published by the DTI (36 pages, PDF format) on 20th July 2005. The publication was announced in the DTI press release Minister urges business to get involved in shaping the EU corporate law agenda on 21st July 2005 and is intended to encourage UK stakeholders 'to get actively engaged in shaping the future EU agenda in this area and provides information on how stakeholders can get involved'. The ICAEW provides an alternative download site for the booklet.

Discussion Paper on the Financial Reporting and Auditing Aspects of Corporate Governance (2003) - full text discussion paper from FEE which can be downloaded in PDF format (81 pages). The paper was published on 1st September 2003 and was accompanied by the press release Audit Committee Key to Investor Confidence

European Corporate Governance in company law and codes - full text of a report (84 pages, PDF format) prepared for the European Corporate Governance Conference in October 2004 which provides a synopsis of Corporate Governance in Denmark, France, Germany, Italy, Netherlands, Spain and the UK. The publication also includes the text of keynote addresses and finals conclusions from the conference.

European Corporate Governance Institute - the website of the European Corporate Governance Institute (ECGI) aims to provide 'a focal point for academics working on corporate governance'. The site includes an impressive archive of library materials which includes a directory of downloadable Codes & Principles from across the world arranged by continent, including the UK. The directory also lists a selection of international comparative summaries.

European Private Equity and Venture Capital Association - dedicated section of the EVCA website on industry standards, including the full text of the EVCA Corporate Governance Guidelines (16 pages, PDF format) as published in June 2005.

Fédération des Experts Comptables Européens (FEE) - official website of the organisation for the accountancy profession in Europe, grouping together 41 professional bodies. The organisation provides position papers and submissions on its website for a range of issues that concern FEE including corporate governance. A FEE policy document on the role of accounting and auditing in Europe alongside the related press release 'FEE calls for urgent progression of European Commission proposals (May 21st 2003).

Nation States

Commissie Corporate Governance - official webpage of the corporate governance committee in the Netherlands, chaired by Morris Tabaksblat. The commission published its draft corporate governance code on 1st July 2003 and an english language press release is available in the english language section of the site. An english language version of the code was made available on the site on July 10th 2003.

Corporate Governance in Italy - The Board of Auditors - full text english language publication (18 pages, PDF format: 957KB) published by the Consiglio Nazionale Dottori Commercialisti in October 2003 which outlines the functions of the board and the potential contribution of the Italian experience of the Collegio Sindacale to the international debate on corporate governance and market credibility. The publication is available with a range of other research publications from the Studi e Ricerche section of the CNDC website.

Corporate Governance in Russia - information about corporate governance in Russia. This website is the result of a project by the Center for International Private Enterprise (CIPE) and the Investor Protection Association (IPA), with OECD funding.

Dutch Corporate Governance Code - a new commission on corporate governance was charged with presenting a new "code of best practice" before the end of 2003 for corporate governance of Dutch listed companies. The commission published its draft corporate governance code in English (PDF 38 pages, 246 KB) on 1 July 2003. The consultation period ended on 5 September 2003. The final corporate governance code Principles of good corporate governance and best practice provision (PDF 71 pages, 172 KB) (translated in English) was announced in a press release (PDF 3 pages, 13 KB) on on 9 December 2003 and will become effective on 1 January 2004. The final code (PDF 71 pages, 172 KB) is also published on the website of the Global Union Research Network (GURN).

German Panel on Corporate Governance - available in English as well as German, this website includes the Corporate Governance rules from July 2000 for Quoted German companies and a Scorecard for German Corporate Governance from the German Association of Financial Analysts, Portfolio Managers, and Investment Consultants.

Russian Institute of Directors - official website of the Russian Institute of Directors, which has the stated aim of 'putting in place efficient corporate governance principles in Russian companies' and includes a draft Code of Corporate Governance and a Corporate Governance ratings section with analysis of selected Russian companies from Standard & Poors/Brunswick UBS Warburg.
