The role of the Audit Committee and how to be a successful Audit Committee Chair
We are delighted to host this panel with the Audit Committee Chairs Independent Forum (ACCIF). ACCIF released a report in 2018 on “How to become and Audit Committee Chair and then succeed” based on over 140 interviews with Audit Committee Chairs, CFOS, Audit Partners and Board Chairs. This panel will revisit the conclusion and discuss which of the conclusions are still valid and if aspects of the role of the audit committee and its chair have evolved since the report. Chairing the session is Tracy Gordon, Director, Centre for Corporate Governance, Deloitte and Executive Officer for ACCIF. Joining the session are ACCIF's Tracy Gordon and Mary Reilly, and Carolyn Clarke from Brave Consultancy.

The role of the Board in shaping culture and how to measure success
Peter Drucker said that “Culture eats Strategy for Breakfast.” The board is responsible for setting both and there is compelling evidence that poor corporate culture plays a significant role in unexpected corporate collapses. This session will discuss the role of the board in shaping and protecting the right culture and how to measure and communicate success in this regard. Joining the panel are Tanya Gass from Norman Broadbent; non‑executive director, Tina Mavraki and ICAEW's Peter van Veen.

Breakout 2: Wates Corporate Governance Principles for Large Private Companies 7 years on
The Wates Principles were developed at the end of 2018 in response to government regulation requiring large private companies to adopt a corporate governance code and report against it in their annual Directors’ Reports. Private companies – representing a wide range of forms of ownership – are a significant contributor to the UK economy. Over 500 companies apply the Wates Principles and have a combined annual turnover of more than £850 billion. Chairing the session is Ilaria Lavalle Miller, from the Corporate Governance Policy Group at Accountancy Europe, she will be joined by Peter Swabey from The Chartered Governance Institute UK & Ireland and the FRC's Mark Babington.

Mark Babington
Mark Babington Executive Director, Regulatory Standards, Financial Reporting Council

Mark leads the division responsible for the FRC’s technical and public policy work covering audit, corporate reporting, corporate governance and stewardship, actuarial, and digital reporting and taxonomies. Prior to joining ExCo, Mark led the FRC’s UK Audit Policy programme, implementing measures to support greater competition in the UK audit market and work to support the reform of international standard setting for auditors, by global regulatory authorities. Mark has previous experience as a Board Member and Audit and Risk Committee Chair. He is also a member of IESBA, which sets the global Code of Ethics for the accountancy profession, and chairs IESBA’s Sustainability Task Force.

Hanif Barma
Hanif Barma Founding partner at Board Alchemy

Hanif is founder of board governance consultancy, Board Alchemy. He brings extensive experience of governance, risk and assurance to the Corporate Governance Committee’s work. Hanif’s client work includes undertaking reviews of board and committee effectiveness and assessing the performance of internal audit and risk teams. Hanif is a non-executive director on several boards and committees and is a member of the Audit and Risk Assurance Committee for the Department for Business and Trade. He is a co-founder of the Risk Coalition.

Derek Blair
Derek Blair President, 2025-2026

Derek has been a Chartered Accountant since 1994. He is one of two partners at Pinkham Blair, a general practice which he co-founded in 2004. The business specialises in assisting “corporate refugees” – those who have left large organisations to set up their own business.

Carolyn Clarke
Carolyn Clarke Founding Partner, Brave Within LLP

A former external and internal audit Partner with PwC, Carolyn combines more than 25 years of experience as an auditor and advisor to a wide range of organisations, with in-house experience as a FTSE 30 Head of Audit, Risk and Control. Carolyn founded BRAVE, a consultancy focused on: Changing Governance. From Within. For Good. Alongside this Carolyn has a wide range of experience as a NED and Audit Committee Chair with a particular focus on private companies in the energy and emerging technology sectors.

Tracy Gordon
Tracy Gordon Director, Centre for Corporate Governance, Deloitte

Tracy regularly presents on the latest governance and corporate reporting developments at the Deloitte Academy in London plus one-to-one with client boards and audit committees. She’s the author of Deloitte UK’s series of governance publications and undertakes benchmarking exercises for many companies keen to meet current standards for best practice. Tracy closely follows the Government’s ‘Restoring trust in corporate governance and audit’ reform agenda and presents on these developments including the new Provision 29 material controls declaration. She is also the executive officer for the UK Audit Committee Chairs’ Independent Forum and a member of ICAEW’s Corporate Governance Committee.

Dan is part of the AuditBoard Alliances team, working with our strategic partners to deliver value to our customers across EMEA. Previously, Dan was a member of AuditBoard's Customer Success team, collaborating closely with our enterprise customers across audit, controls, risk and compliance to support optimisation of the AuditBoard platform and drive efficiencies within their organizations. Dan started his career at Deloitte, where he provided external audit services for public companies listed on the NYSE and NASDAQ and is a Chartered Professional Accountant (Canada).

Kalina’s focus is to evolve the company’s corporate governance strategy and proxy voting models. Prior to joining Phoenix, Kalina spent over 7 years at BMO Global Asset Management (now Columbia Threadneedle Investments UK) as Head of Corporate Governance, where she led on the development and implementation of global corporate governance policies, focussed on ESG integration and engagement, and worked on meeting commitments under the UNPRI and UK Stewardship Code. Kalina also spent time at Fidelity Investments International and Governance for Owners LLP as a senior governance manager.

Tina has 27 years of experience in global commodity supply chains and financial services. A Chartered Portfolio Director and C-suite executive, she brings expertise in business scale-up in 6 continents, strategic risk management, and transformation. Her NED portfolio includes Metlen Energy & Metals PLC where she co-led the company’s re-listing to the LSE. Her advisory portfolio includes Starr Insurance and Neptune Maritime Leasing. On policy advisory, Tina collaborates closely with the FCA and the EBRD on corporate culture, governance, and energy transition.

Ilaria worked as Director of Regulatory and Public Policy at EY and was responsible for the management of the firm’s engagement with its regulators, government departments and professional bodies and oversight of public consultations’ responses and thought leadership on key reforms, with particular focus on company law, audit and corporate governance. Ilaria joined EY in 2019 following a long career in the public sector, across UK Government departments and within EU institutions. Expert EU negotiator, Ilaria has been a member of the OECD Corporate Governance Committee, of the EU Company Law Experts Group and of the Wates Principles Coalition Group.

Alessandra has 30 years of international risk management experience and has held senior roles in banking and asset management across London, Abu Dhabi, and Copenhagen. She is currently an independent non executive director at Triodos Bank UK and First Garden Cities Homes. She also serves on the ICAEW Financial Services Faculty Board and is a member of the Advisory Board of Essex Business School. Alessandra holds a PhD in Economics from the University of Warwick and an MSc in Economics and Econometrics from the University of Southampton.

Earlier in his career he held senior roles in the regulation of social housing, communications and energy.

Driving good practice for over two decades, she has recently focused on facial recognition software, AI standards and governance frameworks for Directors. Pauline holds a 1st Class Honours degree in law and a distinction from the University of Oxford Executive AI Programme.

Peter Swabey

Based in London, Peter is responsible for developing the profile of the Institute and the governance profession with members, regulators, policymakers, employers and other stakeholders by delivering thought leadership, lobbying campaigns and professional guidance promoting strong governance as the vital ingredient for success in organisations. Peter, who joined the Institute in 2013, has more than 40 years’ experience working on governance. He is a member of a number of industry committees and working parties, and is a regular speaker at conferences and events, with an industry-wide reputation as an expert on shareholder and governance matters.

Led by investors responsible for assets worth over $US 90 trillion, ICGN advances the highest standards of corporate governance and investor stewardship worldwide in pursuit of long-term value creation. Jen represents ICGN on the Japanese Financial Services Agency’s Council of Experts and on the International Forum of Independent Audit Regulators stakeholder working group. Jen joined ICGN from Goldman Sachs Asset Management where she was EMEA Head of Stewardship. Previously she led policy outreach for the FRC, on ESG, audit and reporting matters including the creation of the 2020 UK Stewardship Code and the 2018 UK Corporate Governance Code.

Peter Van Veen

Peter is the Director of Corporate Governance and Stewardship at ICAEW. Prior to this, he was the Chief Compliance Officer for multinational enterprises headquartered in the Netherlands, France and Japan. Peter spent over six years at Transparency International UK (TI-UK), where he set up the Business Integrity Programme.

Iain Wright, Director for Business and Industrial Strategy
Iain Wright Chief Policy and Communications Officer, ICAEW

Iain oversees ICAEW's advocacy and public affairs work. He trained as a Chartered Accountant at Deloitte and Touche, before being elected as the Member of Parliament for Hartlepool in 2004. Iain went on to serve as a Minister in both the Department for Communities and Local Government and the Department for Children, Schools and Families. Later, he became Chair of Parliament’s Business, Energy and Industrial Strategy Select Committee, where he led high profile inquiries into the sale of BHS and working practices at Sports Direct.

This was a great event where I was able to receive updates, network with new people and some of the ICAEW team and hear discussions and interesting Q&A's.
