Lead Capture Using the Cvent App: Acceptable Use Policy

This Acceptable Use Policy sets out the standards for your use of the ‘Cvent Lead Capture App’ (“App”), which is provided to you by ICAEW, via a platform operated by Cvent Inc (“App Owner”).

1. Application of Policy

1.1 By using the App, you agree to comply with both:

1.1.1 This Acceptable Use Policy; and
1.1.2 The App Owner’s Terms and Conditions, which you will be required to accept when accessing the App.

1.2 If there is any conflict between this Acceptable Use Policy and the App Owner’s terms, the App Owner’s terms will take precedence to the extent of the conflict.

2. About this policy

2.1 This Acceptable Use Policy (this Policy) governs how you may access and use the App.

2.2 You should read this Policy carefully before using the App.

2.3 By using the App or otherwise indicating your consent, you agree to comply with this Policy, which supplements the App Owner’s Terms and Conditions.

2.4 If you have any questions about this Policy, please contact your ICAEW account manager.

2.5 If you would like this Policy in another format (for example, in audio, or large print) please contact your ICAEW account manager.

2.6 In this Policy:

2.6.1 ‘we’, ‘us’ or ‘our’ means the Institute of Chartered Accountants in England and Wales, incorporated by Royal Charter number RC000246 with its principal place of business at Chartered Accountants Hall, Moorgate Place, London EC2R 6EA; and
2.6.2 ‘you’ or ‘your’ means the person accessing or using the App or its content.

3. Acceptable use

3.1 You are permitted to us the App solely in your capacity as an authorised representative or employee of your organisation that has entered into a sponsorship agreement with ICAEW (“Sponsorship Agreement”).

3.2 Your use of the App for any other purpose, or in any manner not expressly permitted by this Policy, the Sponsorship Agreement, or the App Owner’s terms, is strictly prohibited.

4. Unacceptable use

4.1 As a condition of us allowing you to use the App, you agree not to use the App:

4.1.1 for any illegal purpose under any applicable law, including in any way that promotes or encourages any illegal activity, including fraudulent activity;

4.1.2 to harass, bully, or otherwise violate other’s rights.

4.1.3 to distribute viruses or malware or other similar harmful software code;

4.1.4 for extracting, scraping, crawling or collecting data, including but not limited to via the use of web crawlers, bots, or spiders on the App;

4.1.5 for use to generate prompts, requests, questions, instructions or similar in training AI models or any other form of automated content generation;

4.1.6 for the purposes of promoting unwanted advertising or sending spam;

4.1.7 for any ‘phishing’ activity (‘phishing’ meaning to mimic communications from us or from someone else in order to collect identity information, authentication credentials, or other information);

4.1.8 in any manner that disrupts the operation of the App, our business, or the business of any other entity;

4.1.9 in any manner that is or could be harmful to children;

4.1.10 to license, sublicense, sell, resell, transfer, rent, lease, assign, distribute, or commercially exploit the App;

4.1.11 to advertise, sell or attempt to advertise or sell any illegal, stolen or counterfeit goods or services;

4.1.12 to falsely suggest that we endorse any business, product or service;

4.1.13 to gain unauthorised access to or use of computers, data, systems, accounts or networks;

4.1.14 to attempt to circumvent password or user authentication methods; or

4.1.15 in any other manner which is prohibited by this Policy or by the App Owner’s Terms and Conditions.

5. Lead Generation, Data Protection, and Privacy Notice

5.1 In addition to your obligations under any data protection agreement with ICAEW and the App Owner’s terms and conditions, when using the App for lead generation you must:

5.1.1 Collect, access, use or share lead information only in compliance with all applicable data protection, privacy, and electronic marketing laws.

5.1.2 Not use the App to send spam, unsolicited communications, or otherwise breach any anti-spam or telemarketing laws (such as the Privacy and Electronic Communications Regulations 2003).

5.1.3 Only submit accurate and truthful information related to leads; do not use false or misleading identities or data.

5.1.4 Promptly honour all opt-out or unsubscribe requests and respect all rights of data subjects whose information you process.

5.1.5 Not use the information in the App or the App to harass, intimidate, or otherwise harm any individual or business.

6. Content and Data

6.1 You remain responsible for any content or data you input, upload, transmit, or share through the App.

6.2 You must only upload or submit content and data where you have all necessary rights and consents.

6.3 You must not misuse or improperly disclose any data or information obtained through use of the App.

7. Protected Information

7.1 You must not upload, transmit, or store any “ Protected Information” on or through the App. For the purposes of this Policy, “Protected Information” means any of the following types of data relating to a data subject: (i) racial or ethnic origin; (ii) political opinions; (iii) religious beliefs or other beliefs of a similar nature; (iv) membership of a trade union (within the meaning of the Trade Union and Labour Relations (Consolidation) Act 1992); (v) physical or mental health or condition (except for food allergies or medical contact information); (vi) sexual life; (vii) commission or alleged commission of any offence; (viii) any proceedings for any offence committed or alleged to have been committed, the disposal of such proceedings, or the sentence of any court in such proceedings; (ix) national, social security, taxpayer ID number, or other government-issued ID numbers, date of birth, and/or gender (except if stored in encrypted fields provided by Cvent for such data storage);(x) financial account information (other than payment card information entered securely using Cvent’s online payment module); or (xi) other information that a reasonable person would recognise as highly sensitive (excluding, for avoidance of doubt, contact information such as name, title, company name, mailing address, email address, and phone number

8. Service Locations and Geographical Restrictions

8.1 Your access to and use of the App is subject to the service location and geographical restrictions set out in the App Owner’s terms and conditions, which you will be required to agree to upon accessing the App. You must not attempt to access or use the App, or store data through the App, in any country or region where such use is restricted or prohibited under those terms.

9. Using our name and logo

9.1 You may not use or reproduce in any form our signs, trade marks, logos or trade names.

10. Monitoring and Enforcement

10.1 We reserve the right to monitor your use of the App.

10.2We may suspend, restrict, or terminate your access if you breach this Policy, and may remove any content that violates this Policy.

10.3 The App Owner is not responsible for enforcing this Policy for your use.

11. Breach

11.1 We shall apply the terms of this Policy in our absolute discretion. In the event of your breach of this Policy we may take action as we deem appropriate, including but not limited to:

11.1.1 terminate or suspend your access to and use of the App;

11.1.2 issuing a warning to you;

11.1.3 take any other such measure as we consider reasonably necessary to remedy the breach.

We are not liable for any loss or damage you may suffer as a result of the actions we take in response to a breach of this Policy.

12. Changes to this Policy

12.1 We may update this Policy at any time. Updates take effect when posted. Continued use of the App indicates your acceptance of any revised policy.

13. Disclaimer of Liability

13.1 To the fullest extent permitted by law, we disclaim all liability for any loss or damage (direct, indirect, consequential, or otherwise) you may incur in connection with your use of the App or any content accessed through it, including use of the underlying platform, App and SaaS solution operated by the App Owner. This includes, without limitation, any loss or damage caused by viruses, service interruptions, reliance on information obtained via the App, the operation of the App Owner’s systems, or the actions or content of other users or third parties.

13.2 Nothing in this Policy will limit or exclude liability that cannot be limited or excluded, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

13.3 For clarity, access to and use of the App is provided subject to the App Owner’s terms and conditions. The App may be provided on an “as-is” and “as available” basis, and we do not guarantee that it will be secure, error free, uninterrupted, or meet any particular requirements. Further terms and disclaimers may apply as set out by the App Owner.
