Active Member essentials: policies and procedures for Active Members
ICAEW Governance
For an overview of how ICAEW is governed and the role of the various committees, Board and Council, please follow the links below:
Active Member Code of Conduct
Our ethical behaviour, both actual and perceived, is fundamental to maintaining ICAEW’s reputation, promoting trust and inspiring confidence in it and its members. Ethical behaviour is also part of our identity. As a leading professional body, we set high standards of ethical behaviour for our members and promote the wider public interest. We therefore have to set high standards of behaviour. A similar code following the same principles applies to all Staff.
ICAEW’s Active Member Code of Conduct outlines the organisation’s values and standards of behaviour expected of all of those who represent it. These are derived with reference to ICAEW’s Vision, Strategy and Values and from the Code of Ethics applicable to our members. Should the advice in this Code conflict with laws, regulations and detailed policies, the latter prevail.
Active Member Conduct Procedure
ICAEW staff and Active Members are both expected to abide by ICAEW's values and are expected to deal with each other in a respectful and professional manner. The Active Member Conduct Procedure applies to resolve the rare instances where that one party feels that has not happened.
Conditions of appointment
These conditions of appointment apply to all individuals undertaking roles with ICAEW through membership of committees, working groups or other initiatives. In accepting the role, Active Members confirm that they have read, understand and accept these conditions as set out by ICAEW.
The conditions cover confidentiality, intellectual property rights, data protection and compliance with competition law.
Declarations of Interest
It is important to ICAEW that its governance works in the best interests of ICAEW and its members as defined and set out in the Royal Charter. ICAEW is also committed to act in the public interest, particularly as this relates to matters of regulation and professional standards.
Understanding and managing potential conflicts of interest between members of Council, ICAEW Board and other committees is essential to achieve this. To this end, all members of these bodies are required to declare their interests where they are relevant to ICAEW business and ICAEW maintains a public register of interests for Council, ICAEW Board and other specific committees.
The policy and guidance provides further information to enable completion of the declaration.

We are committed to fostering an environment where people of all backgrounds and experience can reach their full potential. This policy applies to all active members.

This policy tells you how to raise a concern about any malpractice or wrongdoing that you believe may be occurring or have occurred in ICAEW and how you are protected when raising a legitimate concern.
